What is a mutual NDA?

A mutual (two-way) NDA protects both parties: each side can disclose confidential information to the other, and each side takes on the same obligations to protect what it receives. That symmetry makes mutual NDAs the standard choice when two businesses explore working together — neither side has to accept weaker protection than it gives.

Mutual vs one-way: which do you need?

Rule of thumb: if there's any realistic chance the other side will share sensitive information back — pricing, processes, customer lists — use a mutual NDA. • Return or destruction of information — on request or termination, the receiving party returns or destroys the material and certifies destruction in writing.
• No licence, no obligation to proceed, no warranty — disclosing information grants no intellectual-property rights, commits neither side to any deal, and comes without warranties.
• Remedies — including the disclosing party's right to seek injunctive relief, since damages alone rarely fix a leak.
• General provisions — governing law, dispute resolution, entire agreement, amendments, severability, assignment, waiver, notices, counterparts and independent-contractor status.

What you can customise

Are NDAs enforceable in Singapore?

Yes — NDAs in Singapore are ordinary contracts, enforceable under general contract law. In practice, courts give the most weight to agreements that are clear and reasonable: a defined scope of confidential information, a stated purpose, and sensible time limits. A template that tries to cover "everything, forever" can be harder to enforce than one with well-drawn boundaries — which is why the generator asks you to define the purpose and pick explicit term and survival periods.
